“We” refers to this business. The “client” is the individual or organisation entering into an agreement with us. A “consumer” is an individual acting outside their trade or profession. “In writing” includes email.

2. Scope and agreements

These terms apply to quotes and agreements for services including web design, development, online shops, domain management, hosting, email, website maintenance, optimisation and support, where they were made applicable and provided before the agreement was concluded.

Individual written agreements take precedence over these terms. Mandatory law always takes precedence. An invalid provision does not automatically invalidate the others. The parties will seek a lawful replacement that reflects the original intent as closely as possible.

3. Quotes and contract formation

All services are offered and confirmed through a quote. It specifies scope, price, recurring costs where applicable, duration and relevant scheduling. The client accepts using the acceptance option in that quote. The agreement is concluded when we receive acceptance. The website only allows non-binding enquiries. No order or subscription is concluded directly there. Each order requires acceptance of its quote.

We provide these terms before acceptance in a form the client can save. A starting price covers the described base scope. We discuss and price additional requests in advance. The quote states how long it is valid. We discuss obvious errors before work or payment is based on them.

4. Prices and payment

Payment is due 14 days from the invoice date. Any agreed deposit, instalment or payment before publication is recorded in the quote or order confirmation. We state business prices and VAT separately. For consumer offers, the total price communicated in advance, including VAT and unavoidable charges, applies.

Hosting, domain registration, email, maintenance, external services and paid licences are included only if expressly agreed. We explain additional charges in advance and obtain agreement where required.

For late payments, we may demand payment and statutory interest. For consumers, we charge out-of-court collection costs only after a valid free reminder and the statutory fourteen-day payment period, with the legally required warning. Applicable statutory rules govern business clients.

Suspension for non-payment must be justified and proportionate. We inform the client beforehand and provide a suitable opportunity to remedy the default, unless immediate action is legally justified. A payment dispute does not automatically justify deleting or holding client data to compel payment.

5. Performance, materials and scheduling

We perform the agreed work with reasonable care and skill. The client provides all required files, copy, images, other content, accurate information, decisions and access in time. The client must hold the necessary rights to any supplied text, images, software and trademarks.

Estimated schedules depend on complete materials and timely feedback. If there is a delay, we inform each other and agree on an updated schedule. A statutory or expressly agreed binding deadline retains its effect.

The quote and selected package determine the scope, included revision rounds and delivery milestones. New features, changes to the brief or extra revision rounds may constitute additional work. We discuss effects on price and scheduling before proceeding.

6. Handover, remedies and support

At handover, the client can check the agreed functionality and report specific deviations. We remedy deficiencies attributable to us within a reasonable period. A commercial remedy period included in a package does not limit statutory rights.

We do not guarantee specific revenue, visitor numbers, search rankings or performance scores unless a specific guarantee is agreed in writing. We provide the agreed performance and the quality the client is legally entitled to expect.

Ongoing maintenance, monitoring, support, availability and any recovery objectives follow the selected service and written terms. Hosting alone does not provide an unconditional 24/7 support or availability guarantee.

7. Duration of ongoing services

Ongoing domain, hosting, server and management services have an initial term of one year from the start date stated in the order confirmation. We state the term of other recurring services in advance.

After the first year, the service continues indefinitely and can be terminated monthly with one month’s notice. It does not automatically renew for another fixed year. The client can give notice during the first year to end the service at the end of the initial term, subject to the agreed and legally permitted notice period.

The minimum term does not affect statutory withdrawal rights, termination for breach or other mandatory termination rights. A standalone design or development order does not automatically require a one-year commitment. Consumers retain statutory rights to terminate a services engagement.

8. Notice and confirmation

Give notice by email to info@geurtswebdesign.com or by another legally permitted method. Consumers can use any termination method that must be offered by law, including the same method used to conclude the agreement.

State the service, domain or client details and the desired end date. We confirm receipt, the end date and practical handover arrangements. Timely valid notice does not depend on our confirmation.

9. Handover and 30-day migration window

On termination, the client arranges the move to a new developer or hosting provider unless they commission us separately. The client has access to their own server environment from the start of the project. On receiving notice, we remind them of that access and the options for transferring their files and data.

The migration window is 30 days from receipt of notice. Our confirmation states the receipt date, migration deadline and contractual end date. The window does not change the contractual end date or statutory termination rights and does not by itself end an ongoing service early. Agreed services and payment terms remain in force until the contractual end date.

The client provides a suitable new environment, secures their own files and database and mailbox exports where these are part of the service, and checks completeness and operation after the move. We provide required domain transfer codes and cooperation that only we can provide in good time. Access is limited to the client’s own environment. We do not grant general server access that would expose other clients’ data or systems.

If the client wants us to handle exports, migration, reconfiguration or additional technical support, we charge for this under a quote accepted in advance. Full migration is not automatically included in regular services. Legally required cooperation remains unaffected. Third-party licences and accounts are transferable only if their terms allow it.

Remaining client files and backups are generally deleted twelve months after the actual service end date. This period does not extend hosting, the migration window or access rights and does not guarantee recovery or availability for twelve months.

This is not blanket permission to keep all personal data for twelve months. We return or delete data processed solely on the client’s behalf, including copies, after the service ends in accordance with the applicable processing agreements and law. Necessary temporary retention must be separately justified and agreed. Statutory record-keeping and retention duties continue to apply. We do not erase data without notice while necessary handover assistance we have confirmed remains outstanding.

10. Domains and third-party services

We register and manage domains for the client under applicable registration rules and the order. Domain availability can only be confirmed on registration. We provide information needed for an agreed transfer in good time.

We inform the client in advance about relevant third-party terms, licences and recurring charges. A technical or administrative annual registration cycle does not in itself create a new fixed annual commitment for consumers. We clearly agree in advance how termination affects registrations and renewals.

11. Rights to content, design and software

The client retains rights to materials and data they supply. The quote or order confirmation records which usage or intellectual property rights the client receives in new work. Where required, we record copyright transfers in writing.

Rights to open-source software, themes, plugins, fonts, stock materials and other third-party components remain with their respective owners and follow their licence terms. The client receives the rights necessary for the agreed use. On termination, we provide a usable handover within those rights.

12. Privacy and confidentiality

The parties handle confidential information carefully and restrict access to those who need it. Our privacy notice explains how we process our own client and website data. If we process personal data on behalf of the client, we enter into a data processing agreement where required, covering security, subprocessors, incidents, handover and deletion.

The client remains responsible for their own content, processing purposes and obligations as controller insofar as that role applies. Our own statutory obligations remain in force.

13. Liability and force majeure

We are liable for breaches attributable to us under applicable law. The client reports problems as soon as reasonably possible and, when the law requires, gives us a reasonable opportunity to remedy them. The parties take reasonable measures to mitigate loss.

Force majeure has the meaning given by law. A provider outage is not automatically force majeure. The circumstances and agreements determine whether it qualifies. If an impediment continues, the parties discuss the consequences and their statutory termination rights. These terms do not exclude liability or consumer rights that cannot lawfully be excluded.

14. Consumers: withdrawal period and start of services

For a distance or off-premises service contract, consumers generally have fourteen days from conclusion to withdraw. An exception applies only where provided by law and where the required information was given. A custom-built website does not in itself remove the withdrawal period for a service contract.

If the consumer wants us to start during the withdrawal period, we ask for an express request in advance. On withdrawal, we may charge a proportionate amount for services already supplied only if statutory information and consent requirements have been met. The right can expire on full performance only if the legally required express consent and acknowledgement were obtained beforehand.

Consumers can withdraw by an unequivocal statement by email or post or by using the form below. Where legally required, we also provide an online withdrawal function.

After valid withdrawal, we refund payments received within fourteen days using the same payment method unless another method is agreed at no cost. We deduct only amounts legally due for services already performed.

15. Complaints and applicable law

Send complaints to info@geurtswebdesign.com with a description and the relevant order or service. We investigate and respond within a reasonable period. Clearly identify urgent technical problems as urgent.

Dutch law applies. This does not deprive consumers of mandatory protection under the law that would apply without this choice. Disputes may be submitted to the court with jurisdiction under applicable law.

16. Changes to terms and rates

Existing agreements remain subject to their agreed terms. Changes for existing ongoing services apply only where permitted by the agreement and by law, with a clear explanation in advance and any legally required right to terminate. A new version on the website does not automatically change an existing agreement.
